Theater Partners
Theater Partner Agreement
Version v3 · Effective August 30, 2026
1. What Big Screen Rally is — and is not
Big Screen Rally is a demand-interest and demand-validation platform. We help audiences signal that they would like to see a specific title or event at your theater, and we report that interest back to you in aggregate.
Big Screen Rally is not your ticket seller, exhibitor, event producer, promoter, licensing agent, distributor, booking agent, legal adviser, or guarantor. We are not a party to any ticket sale, and we do not act as your agent for any purpose.
2. Interest is not a sale
A Rally, an Interested response, a reservation, a reservation count, a goal, a projection, a price estimate, or any other metric on the platform is an indication of consumer interest only.
It is NOT a ticket sale, a binding purchase commitment, a pre-order, an attendance guarantee, a revenue guarantee, or a profitability guarantee. Big Screen Rally does not collect money from consumers on your behalf and does not hold, block or sell seats.
Reserved spots may not equal tickets ultimately purchased. Some or all users may choose not to buy. Ticket availability, showtime changes, seat selection, ticket pricing, fees, weather, competing events and other factors affect conversion. Actual attendance and actual revenue can be materially lower than reservation counts.
3. The theater decides
Your theater alone decides whether to Green-Light, schedule, modify, reschedule, cancel, price, sell tickets for, or otherwise conduct any screening or event. Reaching a Rally goal never obligates you to program anything.
You control final ticket pricing, ticket inventory, seat selection, ticket fulfillment, refunds and cancellations to ticket purchasers, and all customer service — through your own systems.
4. Costs and financial outcome are the theater's
You are solely responsible for all costs and expenses associated with a screening or event, including auditorium and venue costs, staffing, operations, marketing and advertising, equipment, content delivery, licensing, royalties, film rental, distributor and studio fees, taxes, refunds, payment processing, customer service, accessibility obligations, and any other expense.
To the maximum extent permitted by law, Big Screen Rally is not responsible or liable for your expenses, losses, lost profits, low attendance, unsold tickets, cancellation costs, or the financial outcome of any screening or event — whether or not the Rally met its goal.
5. Rights, licensing and legal compliance
You are solely responsible for obtaining and maintaining all necessary copyrights, public performance rights, exhibition rights, licenses, permissions, distributor and studio approvals, music and other content rights, and any other legal authority needed to screen or present the content or event.
Big Screen Rally does not obtain, clear, verify or review these rights for you, and makes no representation that any proposed title, film, program or event is legally available for exhibition by your theater.
You are responsible for complying with all applicable laws, regulations, contractual obligations, safety requirements, accessibility requirements, health rules and venue rules that apply to your theater and your events.
6. The $50 Green-Light platform fee
Listing your theater on Big Screen Rally is free. A flat $50 Big Screen Rally Green-Light platform fee is charged each time you Green-Light a Rally, before the crowd is notified and forwarded to your ticketing system.
That fee is paid by your theater to Big Screen Rally for platform services. It is entirely separate from consumer ticket purchases, is not a commission on ticket sales, and does not make Big Screen Rally a party to any ticket sale. Big Screen Rally takes no share of your box office.
The fee is charged per Green-Light and is generally non-refundable once the crowd has been notified, except where required by law or where Big Screen Rally agrees otherwise in writing.
7. Participant privacy
Participant demand is reported to theaters in aggregate only. You will never receive participant names, email addresses, phone numbers or individual participant lists through the platform, and you agree not to attempt to obtain or re-identify them.
You agree that each admin uses an individual login — shared credentials are not permitted — and that two-factor authentication stays enabled on every theater admin account.
8. Accuracy of what you publish
You are responsible for the accuracy of showtimes, auditorium details, ticket prices and ticketing URLs published through your Green-Lit Rallies, and for honouring them through your own ticketing system.
9. No warranty and platform availability
The platform is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy of demand data, and non-infringement.
Big Screen Rally does not warrant uninterrupted or error-free operation, and may modify, suspend or discontinue features, or perform maintenance, at any time.
10. Limitation of liability
To the maximum extent permitted by law, Big Screen Rally is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business or lost goodwill, arising out of or relating to the platform or any Rally.
Big Screen Rally's total aggregate liability for any claim relating to a Rally will not exceed the total Green-Light platform fees you paid to Big Screen Rally for that Rally.
11. Indemnification
You will defend, indemnify and hold harmless Big Screen Rally and its officers, employees and contractors from any third-party claim, demand, loss, liability, damage, fine or expense (including reasonable legal fees) arising out of your screenings or events, your ticket sales and refunds, your marketing, your rights and licensing obligations, your compliance obligations, or your breach of this agreement.
12. Platform Protection and Competitive Use
By accessing or using Big Screen Rally as a Theater Partner, you agree that your access is provided solely for your theater company's legitimate use of the Big Screen Rally service.
You may not use your access to Big Screen Rally, including its Theater Partner dashboard, workflows, features, business processes, user experience, documentation, communications, pricing structure, Rally mechanics, demand-validation methods, or other non-public aspects of the platform, for the purpose of researching, designing, developing, assisting with, or creating a competing or substantially similar service.
You may not reverse engineer, copy, reproduce, systematically study, scrape, test, document, or analyze non-public portions of the platform for the purpose of replicating Big Screen Rally's functionality, processes, workflows, technology, or business model.
You also agree not to provide access to, demonstrate non-public functionality to, or knowingly share non-public information about Big Screen Rally with a third party for the purpose of helping that party develop or improve a competing or substantially similar platform.
Nothing in this section prevents your theater from independently developing internal tools, operating its own screening programs, using general industry knowledge, or using ideas and information developed independently without misuse of Big Screen Rally's non-public information, systems, or Theater Partner access.
Big Screen Rally reserves the right to suspend or terminate Theater Partner access if it reasonably believes the platform is being used in violation of this section, in addition to any other remedies available under this agreement or applicable law.
13. Authority, term and changes
The person accepting this agreement represents that they are authorised to bind the theater company named in the acceptance record.
This agreement stays in force while your theater company uses Big Screen Rally. Either party may stop using the platform at any time; Green-Light fees already paid for announced Rallies are not affected.
Big Screen Rally may publish an updated version of this agreement. When the version changes, a Company Admin is asked to accept the new version before Green-Light functionality is available again. Big Screen Rally records the agreement version, the acceptance timestamp, the accepting user and the theater company.
This is a business template provided for convenience. It is not legal advice and no attorney-client relationship is created by it. Big Screen Rally and each theater company should have qualified legal counsel review this agreement before broad commercial launch.
Theater partners accept this agreement in partner onboarding and can review the accepted version any time in company settings.
